Don't you think that you should at least have attempted to hold an AGM 
and determined if in fact there were too few volunteers to for a new 
BOD?  You could have for example attempted to explain to the meeting the 
duties of the BOD and perhaps encouraged a few shy attendees to have a 
go!  If I knew more about what was involved, I for one might have been 
easily persuaded.
